1. Acceptance of Terms

By creating an account or using TradeMatch ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform.

2. Description of Service

TradeMatch is a networking and productivity platform for tradespeople. The Platform provides tools for job posting, estimating, invoicing, forum discussion, lead discovery, and a peer-to-peer marketplace for tools and equipment. TradeMatch is not a general contractor, employer, broker, payment processor, or party to any transaction between users.

3. User Responsibilities

You are solely responsible for your use of the Platform and for all content you post, including job listings, estimates, invoices, forum posts, marketplace listings, and messages. You agree to:

  • Provide accurate and truthful information about yourself, your business, and your credentials.
  • Comply with all applicable local, state, and federal laws and licensing requirements.
  • Not post false, misleading, fraudulent, or deceptive content.
  • Not use the Platform for any illegal or unauthorized purpose.
  • Not harass, threaten, or discriminate against other users.
  • Not attempt to access, modify, or disrupt the Platform's systems or data.

4. Marketplace — User-to-User Transactions

The marketplace feature allows users to list and purchase tools and equipment directly from one another. TradeMatch does not facilitate, process, escrow, or guarantee any payment or transaction. All transactions are strictly between the buyer and the seller. TradeMatch is not a party to any marketplace transaction and has no obligation to resolve disputes between users.

You acknowledge that:

  • TradeMatch does not verify the condition, ownership, or legality of any listed item.
  • TradeMatch does not guarantee that any seller or buyer will fulfill their obligations.
  • You bear all risk associated with any marketplace transaction.
  • You should exercise caution and good judgment when meeting in person or exchanging money with other users.
  • Any payment arrangement is solely between you and the other party.

5. Jobs, Estimates, and Invoices

TradeMatch provides tools for posting jobs, creating estimates, and issuing invoices. These tools are provided for convenience only. TradeMatch does not verify the identity, credentials, or reliability of any user posting or responding to a job. Any working relationship, agreement, or payment arrangement between users is solely between those users. TradeMatch is not a party to any employment, subcontracting, or service agreement.

6. External Leads and Data

The Radar feature displays leads and business information sourced from third-party data providers. This data may be outdated, inaccurate, or incomplete. TradeMatch does not verify external lead data and makes no warranty as to its accuracy or usefulness. You are responsible for independently verifying any information before acting on it.

7. Subscriptions and Billing

Certain features of the Platform require a paid subscription. Subscription fees are billed through our payment processor (Stripe). You are responsible for all fees associated with your account. Refunds, if any, are handled at the sole discretion of TradeMatch. Subscription cancellations take effect at the end of the current billing period.

8. Limitation of Liability

To the maximum extent permitted by law, TradeMatch, its owners, officers, employees, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to:

  • Any transaction, dispute, or interaction with another user.
  • Any reliance on external lead data, job listings, or user profiles.
  • Any loss of data, profits, or business opportunity.
  • Any injury, property damage, or loss arising from a job performed or arranged through the Platform.

The Platform is provided on an "as-is" and "as-available" basis without warranties of any kind.

9. Indemnification

You agree to indemnify and hold harmless TradeMatch, its owners, and affiliates from any claim, demand, loss, or damages (including legal fees) arising from your use of the Platform, your content, or your interactions with other users.

10. Account Termination

TradeMatch reserves the right to suspend or terminate your account at any time, with or without cause, and with or without notice.

11. Changes to These Terms

TradeMatch may update these Terms from time to time. Continued use of the Platform after changes constitutes acceptance of the revised Terms.

12. Governing Law

These Terms shall be governed by the laws of the United States and the state in which TradeMatch is operated, without regard to conflict of law principles.
